1.2 The Website is operated by Theforme Enterprise Pty Ltd ACN 625 234 808 trading as The Forme (The Forme, we or us) and provides users (you) with information and services relating to the business activities of The Forme. By visiting this Website or purchasing our products, you agree to be bound by these terms of service.

1.3 You are only authorised to access or use the Website and the services if you accept and agree to these terms of service. Your continued use of the Website is acceptance of, and agreement to be bound by, these terms of service and any policies referred to in these terms of service. The Forme has the right to exclude any users from accessing the Website if they are found to be in breach of these terms of service.

2 Sale of products

Our online store

2.1 Our online store accessible on this Website is hosted by Shopify Inc. This is an e-commerce platform that allows us to sell our products to you and is subject to the terms of service set out on its website (link: https://www.shopify.com/au/legal/terms).

2.2 By agreeing to these terms of service, you represent that you are over the age of 18, or that you are over the age of 18 and that you have given us your consent to allow any of your minor dependants to use this Website.

2.3 We reserve the right to modify or discontinue any product or this Website (or any part or content thereof) without notice at any time.

Prices and Payment

2.4 Prices for our products not already ordered are subject to change without notice.

2.5 All prices are charged in Australian dollars. Depending on your location, our website may display prices converted into your local currency. To confirm the currency you are shopping in, proceed to the checkout to view your total.

2.6 Unless otherwise indicated, displayed prices include GST. Terms used in this clause that are defined in the A New Tax System (Goods and Services Tax) Act 1999 have the same meaning as in that Act.

2.7 The Forme currently accepts payments made via Visa, Mastercard, American Express, PayPal and Afterpay. The terms and conditions of payment providers will apply to these transactions.

2.8 This section (‘Prices and Payment’) also applies to purchases made in store from our Showroom.

Orders

2.9 Orders for our products can be made online through this Website in accordance with the terms stated on the Website as part of the ordering process. It is your responsibility to ensure that the details of any order placed by you are accurate and correct.

2.10 We reserve the right to refuse to supply products to anyone in our reasonable discretion, including by geographic region or jurisdiction or where the relevant individual has not complied with our Exchanges and Returns Policy. We are not obliged to fulfil any order unless the order is confirmed.

2.11 Our supply of products is contingent upon the availability of our products from time to time. We note that we may have limited quantities of some products available for sale to you at certain times.

2.12 You agree to provide current, complete and accurate purchase and account information for all orders. You agree to promptly update your account and other information, including your email address and credit card information, so that we can complete your transactions and contact you as needed.

Delivery

2.14 International customers are responsible for paying customs and duties within their own countries. Orders to the United States are shipped on a DDP (Delivery Duty Paid) basis. Relevant import taxes and duties are calculated at checkout and processed by The Forme once your order is dispatched.

2.15 You warrant that the person receiving products you have ordered at the specified delivery address is authorised by you to do so.

2.16 Title to a product the subject of an order passes to you once you have paid for it in full and the product has been delivered to you. Risk in a product passes to you on delivery in accordance with the delivery details provided by you.

2.18 You must not use the products sold to you through our Website for any illegal or unauthorised purpose.

3.2 We have made every effort to display as accurately as possible the colours and images of our products that appear on our Website, however we cannot guarantee that your computer monitor’s display of any colour will be accurate.

Indemnity

4.8 You indemnify The Forme against all liabilities, losses, damages, costs and expenses (including all legal costs, whether incurred or awarded) suffered or incurred by The Forme in relation to any breach of these terms of service by you, or your violation of any law or the rights of a third party.

5 Miscellaneous

Force Majeure

5.1 If The Forme becomes unable to carry out an obligation under these terms of service due to an event beyond its reasonable control (Force Majeure), it will notify you of this. The relevant obligation, so far as it is affected by the Force Majeure, will be suspended during the term of the Force Majeure. The Forme may take all reasonable steps to minimise the consequences of the Force Majeure and to resume performance of the suspended obligation as soon as practicable.

No waiver

5.2 A waiver under these terms of service is not binding on The Forme unless it is in writing and signed by us. A waiver is not a waiver of any other right.

Severance

5.3 Each of the agreements of the parties under these terms of service is severable from the others and the severance of one agreement does not affect the other agreements.

Relationship

5.4 Nothing in these terms of service creates an agency, partnership, joint venture or employment relationship between the parties or any of their respective employees, agents or contractors. Neither you nor any person acting on behalf of you may hold themselves out as being entitled to contract or accept payment in the name of or on account of The Forme.

Entire Agreement

5.5 These terms of service and any policies posted by us on this website constitute the entire agreement and understanding between you and us and governs your use of the Website and the goods, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Governing law

5.6 These terms of service are governed by and must be construed in accordance with the laws of New South Wales, Australia.
